From our consideration,
Duly authorized by the Board of Directors of Zurich Chile Seguros Generales S.A. (the “Company”),
and in accordance with the provisions of the final paragraph of Article 9 of D.F.L. N*251, in relation to the
Article 10 of Law No. 18.045 on the Securities Market, and in Circular No. 991 and NCG No. 30,
both of the Commission for the Financial Market (the “Commission”), we communicate to you how
Essential Fact of Society the following:
At the Board Meeting held today, it was agreed, among other matters, in relation to the
issue of 74,074,075 payment shares registered on December 15, 2022 in the Registry
of Commission Securities under N*1124, corresponding to the capital increase agreed at the meeting
extraordinary shareholder agreement dated August 16, 2022, and approved by the Committee through
Exempt Resolution No. 7202 dated November 3, 2022 and Certificate No. 720 dated November 4, 2022
November 2022, the following:
1. Set the start date of the legal preferential option period, as of December 30,
2022, the day on which the notice of the start of the preferential option period will be published in the Diario El
Libero.
2. As agreed at the aforementioned shareholders’ meeting, offer the new payment shares
preferably only among the shareholders in proportion to the shares they hold registered in their name
in the Register of Shareholders of the Company, at midnight on the fifth business day preceding the date
of publication of the preferred subscription option.
