Ref: Essential Fact – Start of Preferred Option Period
From our consideration,
Duly authorized by the Board of Directors of Zurich Chile Seguros de Vida S.A. (the “Company”), pursuant to the provisions of the final paragraph of Article 9 of D.F.L. No. 251, in connection with Article 10 of Law No. 18,045 of the Securities Market Law, and Circular No. 991 of the Financial Market Commission (the “Commission”), we hereby inform you as a Material Information of the Company of the following:
At the Board of Directors’ Meeting held on May 17, 2023, it was agreed, among other matters, the following:
1. The issuance of 21,028,187 payment shares resulting from the capital increase agreed at the Extraordinary Shareholders’ Meeting of the Company held on October 29, 2020;
2. The issuance of 23,338,011 new payment shares resulting from the capital increase agreed at the Extraordinary Shareholders’ Meeting of the Company held on May 15, 2023 (all together “Payment Shares”);
3. To fix the starting date of the legal pre-emptive option period for the Payment Shares, as from May 25, 2023, on which date the notice of the beginning of the pre-emptive option period will be published in the Diario El Líbero; and
4. As agreed at the aforementioned shareholders’ meetings, to offer the Preferred Payment Shares only among the shareholders pro rata to the shares they hold registered in their name in the Company’s Shareholders’ Registry, at midnight on the fifth business day prior to the date of publication of the preferential subscription option.
The Payment Shares will be offered at a price of $1,065.- per share.
