Ref.: Announces call for Ordinary Shareholders’ Meeting
Hereby, in accordance with the provisions of articles N*9 second paragraph and N* 10 of the Law
of the Securities Market and in the NCG N*30 of that Commission, I come, duly authorized for this purpose,
in communicating, as an Essential Fact, the following:
On March 9, 2023, the Board of Directors of Wenco S.A. agreed to summon the Ordinary Meeting of
Shareholders for the day April 03, 2023 at 13.30 hours, at the offices of the Company located
in Américo Vespucio Norte N*1125, commune of Huechuraba, in order to pronounce and inform
of the following subjects:
to. Examination of the situation of the Company and the reports of the external auditors and the
Approval or rejection of the report, balance sheet and financial statements corresponding to the
2022 financial year;
b. Distribution of profits for the year and the determination of the dividend and its form of payment;
Cc. Appointment of external auditors;
d. Designation of risk rating agencies;
e. Fixing the remuneration of the Board of Directors;
f. Report and approve transactions with related parties; and
g. The other matters that by law correspond to this board.
The Board of Directors agreed to record that they have the right to participate in the Shareholders’ Meeting,
those that in accordance with the Law are authorized.
The qualification of powers, if any, will be practiced on the same day of the Meeting at 1:00 p.m.
