In compliance with the provisions of articles 9% and 10% second paragraph of the Law
N?18.045 on the Securities Market and in the General Rule N*30 of the Commission
for the Financial Market (“CMF”), duly empowered by the Board of Directors of Vivo SpA
(“Vivo” or the “Company”), I communicate to you as an Essential Fact, that in
compliance with the terms and conditions of the Judicial Reorganization Agreement of the
Company, approved at the Deliberative Meeting of Creditors of the Company held on date
December 23, 2021, and its amendments (hereinafter, the “Agreement of
Reorganization”), I report the following:
With this date, the exchange of all the old bonds was successfully materialized.
Series B, Series C and Series E issued by the Company against the lines registered in the
Registry of Securities of the CMF under N*882, N*883 and N*952, for new Series G bonds,
Series H and Series I, as follows: (1) Series G, issued and placed by the
Company charged to the new 14-year term, registered in the Securities Registry of the
CMF under N*1111, dated August 17, 2022; (ii) Series H, issued and placed by
the Company charged to the new 16-year term, registered in the Securities Registry of
the CPM under N*1112, dated August 18, 2022; and (111) Series I, issued and placed
by the Company under the new 23-year term, registered in the Securities Registry
of the CMF under N*1113, dated August 18, 2022.
