Dear Sir or Madam:
On behalf of Viña Los Vascos S.A. and in compliance with the provisions of article 9% and
second paragraph of article 10? of Law N* 18.045 and in General Rule N* 30 of
This Commission, duly empowered to do so, communicate to you the following Essential Fact.
At the Ordinary Shareholders’ Meeting held on April 6, 2023, the following were adopted, among others:
The following agreements:
a) Distribution of profits for the year 2022:
The Meeting, by the unanimity of the shareholders present, agreed to distribute dividends charged
to the profits of the year 2022 by 100% of the profit of that year, that is, by
US$ 2,933,000, corresponding to US$ 0.04190 per share. The payment of 50% of this dividend,
As a mandatory minimum dividend, it will be made as of May 26, 2023 by
US$ 1,466,500, equivalent to 0.02095 per share. The remaining 50% of the net profit of the
fiscal year 2022, that is, US$ 1,466,500, equivalent to US$ 0.02095 per share, will be paid
during the month of December 2023 to the extent, and subject to the condition, that, by 31
October of this year, the projected profit to this date for the year 2023 is positive
and that cash and cash equivalents as at the same date are also positive, and
sufficient for the payment of said dividends, mandating to that effect the Board of Directors of the
Society.
(b) Appointment of the external auditors for the financial year 2023:
The Board unanimously agreed to designate for the purpose of reviewing the accounts,
inventory, balance sheet and other financial statements of the Company, during the financial year 2023, to EY
Audit Spa. as independent External Auditors.
