Ref. Extraordinary Shareholders’ Meeting.
From our consideration:
Duly authorized by the board of directors of the company Transchile Charrúa Transmisión S.A.,
public limited company registered in the Special Register of Reporting Entities under Number
255 (the “Company”), and by virtue of the provisions of article 9″ and the second paragraph of the
Article 10? of Law No. 18.045, and numeral 2.2 and 2.3 of Section II of the
General Character N? 30 of the Commission for the Financial Market, hereby
I come to report the following essential fact regarding the Company:
The Company’s only two shareholders, Ferrovial Power Infrastructure Chile SpA and
Ferrovial Transco Chile IT SpA, have expressed to the Company the intention to hold a
Extraordinary Shareholders’ Meeting on December 09, 2022, at the offices of the
Company located at Avenida Andrés Bello 2711, office 1801B, Las Condes, from
09:00 hours, respectively, confirming their attendance in case of being held that day. In
Reason for the above, and by virtue of the provisions of Article 60 of Law 18,046 on
Corporations, the Company has determined not to proceed with the formalities of
Summons to the Extraordinary Shareholders’ Meeting.
Notwithstanding the foregoing, by this act we inform the Commission for the Market
Financial the holding of the extraordinary meeting of shareholders of the Company on 09 of
December 2022 at 09:00 hours, at the offices of the Company located on Avenida
Andrés Bello 2711, office 1801B, Las Condes, in order to rule on the
Approval of the subscription of a mutual money whose funds will be applied to the
corporate needs.
