Madam President,
In compliance with the provisions of Article 18 of Law 20,712, I comply with informing that with
dated April 30, 2022, Toesca S.A. Administradora General de Fondos, hereinafter, the
“Administradora” or “Toesca” concluded a framework partnership agreement called “Agreement of
Association” with the holding companies of Avenida S.A., hereinafter, “Avenida”, company
constituted and in force in accordance with the laws of Chile, and administrator of investment funds
Private Investment Fund Avenida Commercial Premises and Private Investment Fund
Avenida Net Lease US l, hereinafter both jointly the “Current Funds”.
The purpose of the association is mainly to develop jointly with Avenida the investment
of third-party resources, through funds or other permitted investment vehicles, in assets
net lease real estate and others, in Latin America and the USA.
To this end, the Association Agreement provides for the transfer of the administration of the Funds.
Current -subject to the approval of the respective assemblies of contributors- and the purchase by
of Toesca of a stake equivalent to 50% of the company Asesoría Inmobiliaria Avenida
SpA, a real estate consultancy company that will provide its services exclusively to funds that will be
managed by Toesca and companies through which they invest. It is also
contemplates the acquisition of a stake in the company Avenida Realty US LLC, to the extent
in which it only provides services to funds managed by Toesca or foreign subsidiaries thereof.
Avenida is an investment company in net lease real estate assets for investors
Chileans in both Chile and the United States with assets under management above US$ 120
Million. The company operates from its offices in Santiago and Miami.
The Partnership Agreement is subject to the fulfillment of certain suspensive conditions
of the business in question.
