Resolutions of ordinary shareholders’ meeting
Toesca S.A. Administradora General de Fondos
Madam President:
In compliance with the provisions of Article 9 and Article 10, second paragraph of the Law
18.045, I comply with informing that in ordinary meeting of shareholders of Toesca S.A. Administradora
General of Funds held yesterday, the following agreements were adopted:
1.
The board approved the report, the balance sheet, the profit and loss statement and the
Report of the external auditors for the financial year ended 31
December 2021.
The meeting agreed to the distribution of a final dividend charged to the profits of the
Fiscal year 2021 for the amount of $ 349,563,935.-
The board agreed on the annual remuneration of the directors and took note of the expenses
incurred during 2021.
The Board took cognizance of the related party transactions referred to in the
Title XVI of Law 18.046.
The board proceeded to the renewal of the board of directors being elected as directors, by a
period of three years, Mr. Juan José León Bustos, Soledad del Carmen Recabarren
Galdames, Alejandro Reyes Miguel, Carlos Saieh Larronde and Maximiliano Vial Valenzuela.
The board agreed to appoint the auditing firm Crowe Auditores Consultores SpA for the
Review of the financial year ending 31 December 2022.
The board agreed that the publications mandated by law be made in the electronic journal
“El Libero” and if it ceases to operate, in the electronic newspaper “La Nación”.
In due course, we will send to the Commission for the Financial Market a copy of the minutes of the
Ordinary Shareholders’ Meeting referred to in this communication.
