Madam President,
In accordance with the provisions of Article 18 of Law 20,712, the undersigned, duly empowered
for this purpose by the Board of Directors of Toesca S.A. Administradora General de Fondos (the “Administrator”),
informs as an Essential Fact of Toesca Infraestructura ll Fondo de Inversión (the “Fund”),
The following:
1. On this date, the Administrator, acting on behalf of the Fund, has subscribed to the
final and final documents relating to the Share Purchase Agreement (“Share
Purchase Agreement” or “SPA”) under which the Fund has acquired from Inversiones Luz
del Norte SpA (the “Seller”) 100% of the shares issued by Parque Solar
Fotovoltaico Luz del Norte SpA (the “Company”) owned by the Seller, in
forward, “the Actions”. In addition, the Fund has proceeded, on behalf of the Company, to
payment of the debt between it and Solar Chile SpA, a company related to the Seller,
as well as the debt that the Company maintained with other unrelated entities
to either party.
2. The transactions referred to in number (1) above were conditional on
Compliance with conditions specific to such operations as reported by
essential fact dated October 24, 2022. These conditions having been met,

3. Parque Solar Fotovoltaico Luz del Norte SpA is the exclusive owner of a plant
photovoltaic located in the Atacama Region, Province of Copiapó, known as “Luz
of the North”, including all its facilities and whose generation capacity

4. The sale and payments referred to in number (1) above have been financed with
resources from the placement of quotas from the Fund under
Promises made prior to this date and with a long-term credit subscribed by

We estimate that the acquisition of the Shares will have a positive impact on the Fund, in
consideration of the quality of the assets involved and the expected profitability of the Solar Park
Photovoltaic Light of the North.
