Madam President,
In accordance with the provisions of Article 18 of Law 20,712, the undersigned, duly empowered
for this purpose by the Board of Directors of Toesca S.A. Administradora General de Fondos (the “Administrator”),
informs as an Essential Fact of Toesca Infraestructura ll Fondo de Inversión (the “Fund”),
The following:
1. With this date, the Administrator, acting on behalf of Toesca Infraestructura ll
Investment Fund, has signed a Share Purchase Agreement
Agreement” or “SPA”) under which the Fund has undertaken to (i) purchase and acquire
Inversiones Luz del Norte SpA (the “Seller”) 100% of the shares issued by Parque
Solar Fotovoltaico Luz del Norte SpA (the “Company”) owned by the Seller, in
forward, “the Actions”; (ii) pay in advance the debt existing between the
Compañía and Solar Chile SpA, a company related to the Seller; and, to (iii) pay in form
anticipates the debt that the Company has with other entities not related to any
of the parties.
2. Parque Solar Fotovoltaico Luz del Norte SpA is the exclusive owner of a plant
photovoltaic located in the Atacama Region, Province of Copiapó, known as “Luz
of the North”, including all its facilities and whose generation capacity
electric is the amount of 141MWac.
3. The signing of the definitive contract of sale is subject to compliance
of the conditions stipulated by the parties in the SPA, conditions that are specific to
this type of operation.
4. The sale will be financed with resources from the placement of quotas of the
Fund under pledge contracts entered into prior to this date and with a
long-term credit subscribed by the Company.

We estimate that the acquisition of the Shares will have a positive impact on the Fund, in
consideration of the quality of the assets involved and the expected profitability of the Solar Park
Photovoltaic Light of the North.
