From our consideration:
In compliance with the provisions of Articles 9 and 10 of Law N2 18,045 on the Securities Market, and in
General Standard N*30 of the Commission for the Financial Market, finding me
duly authorized by the Board of Directors of Telefónica Chile S.A. (the “Company”), I inform you, as fact.
Essential, the following:
1.- With this date, the Company became aware that its related company Infraco SpA (“OnNet”) -in the
that Telefónica Chile S.A. owns 40% of its ownership – has signed an asset purchase agreement
with Empresa Nacional de Telecomunicaciones S.A. (“Entel”) so that OnNet, once certain
conditions including approval of free competition and regulatory authorities,
acquire 100% of the fiber optic assets owned by Entel.
2.- Likewise, as part of the transaction, OnNet and Entel will sign a series of service contracts.
