2023, in which all the shares with
voting rights issued by the company, were approved, among other things, the Report,
Balance Sheet, Financial Statements and Report of the External Auditors, for the year
ended December 31, 2022 and was elected as Directors of the company for the next
3 years to Mr. Eduardo Massu Massu; Don Ricardo Massu Massu; Mrs. Carmen Roman
Arancibia; Mr. Jorge Sabag Sabag; Don Fernando Tafra Sturiza; Don Fernando Zavala Cavada
and Mrs. Barbara Vidaurre Miller.
Also, in Extraordinary Meeting held next, in which they were present
or represented all the voting shares issued by the company,
Agreed: To increase the capital of the company in the sum of $195,223,800,036 divided into
1,212,129 shares of the same ordinary series, with no par value at $196,023,800,036 divided
in 1,214,922 of the same ordinary series, without par value, all shareholders resigning
asu preferential subscription option, in favor exclusively of collaborators of the company and
of its subsidiaries and that the Board of Directors determines in accordance with the incentive plan that it has approved to the
effect; for this purpose, the Board of Directors was delegated the authority to offer and place the shares.
