Ref: Communicates Essential Fact of Tanner Servicios Financieros S.A.
From our consideration:
In accordance with the provisions of Article 102 of Law N2 18.045, the provisions
contained in the General Standard N?2 30, and the provisions of the Management Manual of
Information of Interest to the Market of Tanner Servicios Financieros S.A., and being
Duly authorized to do so, I come to inform you, with the following:
On April 5, 2022, Tanner Servicios Financieros S.A. (“Tanner”) reported as Fact
Essential to the CMF, having signed an agreement with Nissan Chile SpA, a subsidiary of Nissan
Motor Co. Ltd. of Japan, for the formation of a joint stock company, the formation of which and
Improvement was subject to the condition of obtaining the regulatory authorizations that
may be applicable.
To date, the aforementioned condition has been met, since the National Prosecutor’s Office
Económica (“FNE”) resolved on May 12, 2022 that the formation of the joint venture consists
in the incorporation and operation of Nissan Tanner Financial Services SpA (the “Company”)
does not require – nor can – be notified to the FNE, as it does not have the legal nature of an operation of
concentration according to the requirements established in Title IV of Decree Law No. 211.
In accordance with the foregoing, and considering the parties that the condition is fulfilled, by
Tanner and Nissan have constituted the Company whose object is the
Granting of financial products for the acquisition of certain vehicles
motorized wholesale and retail in Chile.
The Company is affiliated to Tanner Servicios Financieros S.A., which holds a 49% stake
shareholder, while Nissan Chile SpA the remaining 51%.
