REF: Notice of Ordinary and Extraordinary Meeting of Contributors to the SURA Renta Inmobiliaria Investment Fund.
From our consideration:
We hereby inform you that the Board of Directors of Administradora General de Fondos SURA S.A. has decided to convene an Ordinary and Extraordinary Meeting of Contributors of the SURA Renta Inmobiliaria III Investment Fund (hereinafter the “Fund”), at the Building located at Avda. Apoquindo 4820, floor -2, Las Condes, city of Santiago. In order to ensure the participation of the contributors who cannot attend the Meetings in person, the Management Company has enabled the “Zoom” Platform (technological means approved by the Board of Directors of the Management Company, in accordance with the provisions of the Financial Market Commission, through General Rule No. 435 and Circular No. 1,141, both dated March 18, 2020).
– The Ordinary Meeting of Contributors of the Fund shall be held on May 30, 2023 at 8:00 a.m., on first call; and on second call, at 8:30 a.m., in order to deal with the following matters:
Approve the annual account of the Fund to be submitted by the Manager, regarding the management and administration of the Fund and approve the corresponding financial statements;
To elect the members of the oversight committee;
Approve the budget of income and expenses of the oversight committee;
To fix the remuneration of the Supervisory Committee;
Appoint, from among three persons proposed by the Supervisory Committee, the Fund’s external auditing firm, from among those registered in the register kept for this purpose by the Financial Market Commission;
Appoint such independent appraisers or valuers as may be required to value the Fund’s investments; and
Any matter of common interest of the contributors that is not proper for an extraordinary meeting of contributors.
– On the other hand, the Extraordinary Meeting of Contributors will be held on May 30, 2023 at 9:45 a.m., immediately following the Ordinary Meeting; and on second call, at 10:15 a.m., in order to deal with the following matters:
a) Modify the text of Article 11 of the Internal Regulations in force, corresponding to the section Investment Policy and diversification of the Fund’s resources.
b) Modify the text of article 39 of the Internal Regulations in force, corresponding to the section on Profit Sharing Policy.
c) Modify the text of Article 50 of the Internal Regulations in force, corresponding to the section Mandatory Information to be Provided to Contributors.
d) Modify the text of articles 66, 67 and 69 of the Internal Regulations in force, corresponding to the section “Information on Capital Decrease and Right of Withdrawal of Contributors”.
e) To add an article 70 to the Internal Regulations in force, regarding partial capital decreases that may be agreed upon by the Administrator.
f) Report and approve the Procedure for the restitution of the excess of the expenditure limit at the close of 2022.
g) Modify the limit of Expenses corresponding to interest and other financial expenses derived from credits, bills or policies contracted on behalf of the Fund, as well as the interest of any other obligation of the Fund from article 31 to 32 of the Fund’s Regulations with their respective limit.
h) To adopt such other resolutions as may be necessary to implement the decisions of the Extraordinary Assembly.
The Fund’s Financial Statements and the report of its external audit firm are published on the Administrator’s website, www.inversiones.sura.cl.
The contributors who are registered in the Register of Contributors at least 5 working days prior to the date of the Meeting shall have the right to participate in the Meeting.
The qualifications of proxies, if applicable, shall be made on the same day of the Meeting, at the place where it is to be held, and at the time at which it is to begin.
