REF: Summons to the Ordinary and Extraordinary Assembly of
Contributors Investment Fund SURA Renta Inmobiliaria
From our consideration:
We inform you, that the directory of General Administrator
of Fondos SURA S.A., has decided to convene in first summons to Ordinary and Extraordinary Assembly
of Contributors of SURA Renta Inmobiliaria Investment Fund (hereinafter the “Fund”), in the Building
located in Avda. Apoquindo 4820, floor -2, Las Condes, city of Santiago. In order to ensure the
participation of contributors who cannot attend the Assemblies in person, the Society
Administrator has enabled the “Zoom” Platform (technological means approved by the Board of Directors of
the Management Company, in accordance with the provisions of the Commission for the Financial Market,
by means of General Rule N*”435 and Circular Letter N*1.141, both dated March 18,
2020).
– The Ordinary Assembly of Fund Contributors to be held on May 25, 2023, at
8:00 a.m., on first summons; and in second summons, at 8:30 a.m., in order to treat in it
the following subjects:
Approve the annual account of the Fund to be presented by the Administrator, relating to the management and
administration of the Fund and approve the related financial statements;
To elect the members of the oversight committee;
Approve the budget of income and expenses of the oversight committee;
To fix the remuneration of the Supervisory Committee;
Designate, from a list of three candidates proposed by the supervisory committee, the audit firm
external Fund, among those entered in the register kept for this purpose by the Commission for
the Financial Market;
Appoint the independent experts or valuers required to value the
investments of the Fund; and
Any matter of common interest of the contributors that is not specific to an assembly
Extraordinary contributors.
– – For its part, the Extraordinary Assembly of Contributors will be held in first summons on 25
May 2023, at 9:45 a.m., immediately following the Ordinary Assembly; and
Second summons, at 10:15 a.m., in order to deal with the following matters:
to. Modify the text of Article 11″ of the Rules of Procedure in force, corresponding to the
section Investment Policy and diversification of the Fund’s resources.
b. Modify the text of Article 22″ of the Rules of Procedure in force, corresponding to the
Liquidity Policy section.
c. Modify the text of Article 38 of the Rules of Procedure in force, corresponding to the
Profit sharing policy section.
d. Modify the text of Article 48 of the Rules of Procedure in force, corresponding to the
Information section Mandatory to provide to contributors.
e. Modify the text of Article 49″ of the Rules of Procedure in force, corresponding to the
section Journal in which the publications will be made.
f Modify the text of Article 56″ of the Rules of Procedure in force, corresponding to the
section Of the assemblies of Contributors.
g. Modify the text of Articles 64 “and 65” of the Rules of Procedure in force, corresponding to the
Information section Decrease in capital and right of withdrawal of contributors.
h. Add an article 66″ to the current Internal Regulations, relating to partial reductions
of capital that could be agreed by the Administrator.
i Adopt such other agreements as may be necessary to implement the decisions of the
Extraordinary Assembly.
The Fund’s Financial Statements and the report of its external audit firm are published.
on the Administrator’s website, www.inversiones.sura.cl.
They will have the right to participate in the Assembly, the contributors who are registered in the Registry of
Contributors 5 working days in advance of the date of its celebration.
The qualifications of powers, if applicable, shall be made on the same day as the Assembly, at the place of its
celebration, and at the time at which it is to begin.
