In accordance with the provisions of Articles 9 and 10 of Law No. 18.045 on the Market of
Values and section ll of General Standard No. 30 of this Commission, duly
empowered, I come to inform you, as an essential fact of Soprole Inversiones
S.A. (hereinafter, the “Company”), the following:
e In relation to what was reported through essential fact dated November 17, 2022,
the Company has learned that, through transactions materialized today
in Bermuda and Chile, Inversiones Gloria Chile SpA, a subsidiary of Gloria Foods – JORB S.A., has
acquired directly and indirectly 100% of the shares of Inversiones Dairy
Enterprises S.A., holder of 99.887% of the Company’s share capital.
e In board session of the same date, through resignations and appointments
successively, the composition of the Company’s Board of Directors was partially modified,
as follows:
