In accordance with the provisions of Articles 9 and 10 of Law No. 18-045 on the
Values and section Il of General Standard No. 30 of this Commission,
duly authorized, I come to inform you, as an essential fact, that, as
was communicated by Fonterra on 23 February 2023 (New Zealand time), the
The National Economic Prosecutor’s Office (“FNE”) decided to approve in a pure and simple way the
transaction that was informed by essential fact dated November 17, 2022.
A public version of the FNE approval will be available on the FNE website
www.fne.gob.cl.
The closing of the transaction is still subject to the fulfillment of customary conditions
for this type of operations, among which are the launch, by the
purchaser of a pure and simple and irrevocable public offer of all the shares of
the Company which are not owned by Fonterra, in the terms set out in the article
199 et seq. of Title XXV of Law No. 18,045 on the Securities Market.
