Ref. Complements Essential Fact dated October 11, 2022
From our consideration:
In accordance with the provisions of article 9* and second paragraph of article 10″ of the Law
N* 18.045 on the Securities Market, we hereby supplement as
Essential Fact and we respond to Ordinary Office N”76800 dated October 11,
2022, the information regarding the purchase by Soprocal, Calerías e Industrias S.A.
(the “Company” or “Soprocal”), 100% of the shares of the Sociedad Contractual Minera
Las Abuelitas, Ruth 76.432.319-K.
In this regard, we inform that:
1. The operation communicated was carried out by means of a public deed dated 15
September 2022, granted at the Notary of Santiago de don Juan Ricardo San
Martín Urrejola, through which Sociedad acquired 1,350,000 Series A shares of
the Sociedad Contractual Minera Las Abuelitas, for a price of $523,957,019 paid
in the same act in cash.
For its part, by public deed dated September 15, 2022, granted
in the Notary of Santiago of Don Juan Ricardo San Martín Urrejola, Investments
Soprocal Limitada, a subsidiary of Soprocal, acquired 1,000 Series B shares of the
Sociedad Contractual Minera Las Abuelitas, for a price of $890,900, paid in the
same act in cash.
The funds to pay the price of the aforementioned purchases, were obtained
from equity plus debt.
2. From a financial point of view, the completion of this operation means a
increase in the assets of Soprocal, Calerías e Industrias S.A., consolidated in
$523,957,019 approximately. In turn, it is expected in the near future that the
Investment described above generates profits for the company.
