In compliance with the provisions of article 9 “and second paragraph of article 10? of Law No. 18.045,
on the Securities Market, and in General Standard No. 30, of the Market Commission
Financial (hereinafter, the “CMF”), duly authorized for this purpose, and with the purpose of disclosing in
truthful, sufficient and timely essential facts and information relating to Sodimac S.A. (in
hereinafter, the “Company”), its businesses and the securities issued by it that are the subject of the offer.
public, at the time when the fact occurred or came to its knowledge; I come to inform
to the market in general and to the CMF, the following as the ESSENTIAL FACT concerning the
Society:
At the Ordinary Shareholders’ Meeting held today, the following resolutions were adopted:
1. The Annual Report, Balance Sheet, Income Statement and Auditors’ Opinion were approved
External corresponding to the year ended December 31, 2021.
2. The distribution of a final dividend of $7.7868 per share was approved, charged to the
Profits for the year ended December 31, 2021, which will be paid on December 25, 2021
April 2022 to shareholders holding shares that are registered in the Registry
of Shareholders on the fifth business day prior to that date.
3. The Board of Directors was completely renewed because the statutory period of
3 years from their last election, the following directors being elected for the period
statutory 3 years:
– – Juan Pablo del Río Goudie;
– – Sandro Solari Donaggio;
– – Paola Cuneo Queirolo;
– – Elizabeth Lehmann Cosoi;
– – Maria Cecilia Karlezi Solari;
– Gonzalo Rojas Vildósola;
– – Jaime García Rioseco;
– – Catalina del Río Silva; and
– Christopher Hurtado Rourke.
4. EY Servicios Profesionales de Auditoría y Asesorías SpA was designated as
