Ref.: Announces the holding of the Ordinary Shareholders’ Meeting.
Dear Sir or Madam:
In compliance with Article 9? and second paragraph of article 10? of
Law No. 18,045 on the Securities Market and General Rule No. 30 of the
Commission for the Financial Market, and duly authorized, I inform you of the following,
as an essential fact of Sociedad de Inversiones Pampa Calichera S.A. (the
“Society”):
That, on April 28, 2023, the Ordinary Shareholders’ Meeting of the
Society, in which the following agreements were approved, among others:
1. The Annual Report, Balance Sheet, Financial Statements and report of the company
external audit, corresponding to the year ended 31 December of the year
2022.
2. The shareholders agreed to ratify the interim dividends paid amounting to
the sum of MUS$ 140,000 and approved the distribution of 70.9% of the profits
distributable liquids for 2022, which corresponds to MUS$520,000;
Approving to distribute the balance of distributable profits for the year 2022, which
amounts to MUS$380,000, to be paid at the rate of US$0.14656500 for each
Series A share and US$ 0.16122150 for each Series B share, to be paid to the gentlemen
Shareholders as of May 22, 2023, in its equivalent in pesos currency
national, according to the value of the Observed Dollar that will be published in the
Official Journal on May 19, 2023.
3. Pricewaterhouse Coopers Consultores Auditores SpA was appointed as a
external audit for fiscal year 2023.

4. Other matters of social interest within the competence of the Ordinary Meeting of
Shareholders of the Company.
A copy of the minutes of the ordinary meeting shall be sent in due course to the Commission for the
Financial market.
