Ref.: Announces the holding of an Extraordinary Shareholders’ Meeting.
Dear Sir or Madam:
In compliance with Article 9? and second paragraph of article 10? of
Law No. 18,045 on the Securities Market and General Rule No. 30 of the
Commission for the Financial Market, and duly authorized, I inform you of the following,
as an essential fact of Sociedad de Inversiones Pampa Calichera S.A. (the
“Society”):
That, on October 5, 2022, the Extraordinary Shareholders’ Meeting was held
of the Society, in which the following agreements were approved, among others:
1. The granting of security rights to secure obligations of
Euroamérica S.A. with Banco Santander-Chile, through the pledge of shares
SQM A or B, up to an amount of $40,000,000,000 (forty billion
weights).
The approved guarantee corresponds to an underlying obligation of the Company, in
relationship with the Derivatives Contract in the Local Market that maintains the
Sociedad de Inversiones Pampa Calichera S.A. with Euroamérica S.A. celebrated with
Date April 19, 2018 and its amendments which grants currency coverage and
interest rate, with respect to the bond issued by the Company in Development Units.
2. Expressly empower the Board of Directors of the Company to grant the powers of attorney.
that are necessary to materialize the granting of collateral
