Ref.: Announces the holding of the Ordinary Shareholders’ Meeting.
Dear Sir or Madam:
In compliance with Article 9? and second paragraph of article 10? of
Law No. 18,045 on the Securities Market and General Rule No. 30 of the
Commission for the Financial Market, and duly authorized, I inform you of the
next, as an essential fact of Sociedad de Inversiones Oro Blanco S.A. (the
“Society”):
That, on April 28, 2023, the Ordinary Shareholders’ Meeting of the
Society, in which the following agreements were approved, among others:
l.
The Annual Report, Balance Sheet, Financial Statements and report of the company
external audit, for the year ended 31 December
Year 2022.
Shareholders agreed to ratify the interim dividends paid
amounting to the sum of MUS$ 119,343 and approved the distribution of 71.2%
of distributable net profits for 2022, which corresponds to
MUS$456,852; approving to distribute the balance of the distributable profits of the
fiscal year 2022, amounting to MUS$337,510, to be paid at the rate of
US$0.00158790 for each share, to be paid to shareholders from
May 24, 2023, in its equivalent in pesos national currency, according to
to the value of the Observed Dollar to be published in the Official Journal on the day
May 19, 2023.
2. Pricewaterhouse Coopers Consultores Auditores SpA was appointed as
External audit firm for the year 2023.
4. Other matters of social interest within the competence of the Board were dealt with
Ordinary Shareholders of the Company.
A copy of the minutes of the ordinary meeting will be sent to the Committee in due course.
