Dear Sir or Madam:
In compliance with the provisions of Articles 90 and 100 of the Securities Market Law,
and in the
Section II Paragraph 2.2. of Commission General Standard NO 30 for the
Financial Market, and its modifications, I come to communicate to you in fact
essential of Sociedad de Inversiones Norte Sur S.A., hereinafter the “Company”, the following:
On August 25, 2022, the Company signed an agreement to dispose of part of it.
of its shareholding in NS Agro S.A., consisting of 5,650,779 shares,
representing 53.49% of the share capital of said company, to Sariri
Investments 2017, S.L. (the “Buyer”), a company belonging to the Patria group
Investments, hereinafter, the “Agreement”. In addition, they attended the
Agreement between the other shareholders of NS Agro S.A. agreeing to sell to the Buyer a
total of 8,663,246 shares issued by NS Agro S.A., representing 82% of
all of the shares of such company (the “Shares”).
Once the indicated sale has materialized, the Company will own 1,584,741
shares of NS Agro S.A., consequently maintaining a 15% stake
in the capital of that company.
The purchase price for the total of the Shares will be the sum of 2,910,453 Units
of Development, which is subject to certain adjustments and conditions
suspensive regulated in the Agreement.
The closing of the Transaction will be informed once the conditions have already been met.
