Ref.: Informs main resolutions of the Ordinary Meeting
of Shareholders.
In compliance with the provisions of articles 90 and 100 of the Market Law of
Values, and in Section II Paragraph 2.2. of General Standard N930 of the
Superintendence of Securities and Insurance, and its amendments, the undersigned, in
representation of Sociedad de Inversiones Norte Sur S.A., hereinafter (the
“Company”), I come to communicate as an essential fact to you that, on the day
of yesterday, Monday, April 11, 2022, was held by videoconference, Board
Ordinary Shareholders of the Company, which adopted the following resolutions:
1. Approve the Report, Balance Sheet, Financial Statements and report of the Auditors
External, corresponding to the year 2021;
2. Distribute 99.2521% of the distributable profit for the year 2021, through the
Payment of an ordinary dividend of $865.- per share, for all shares of the
Company, establishing the date of payment of said dividend on April 21
of 2022;
3. Set the remuneration of the Board of Directors and its expenditure budget for the year
2022;
4. To approve the report on expenses of the Board of Directors during the fiscal year 2021;
5. To take cognizance of the activities and expenditures carried out by the
Directors during the financial year 2021;
6. Appoint KPMG as External Auditors for 2022
Auditores Consultores Ltda.;
7. To be informed about the related operations of the Company to which it is
refers to Law N”18.046;
8. Designate as the newspaper in which social publications should be made the newspaper
