By virtue of the provisions of Article 9″ and second paragraph of Article 10*,
of Law N*18.045 and General Rule N*30, we communicate to you the following
Essential Fact with respect to Sociedad de Infraestructuras de Mercado S.A. (“SIM”).

That, as you know, at the Extraordinary Meeting of Shareholders of the Stock Exchange
de Comercio de Santiago, Bolsa de Valores (the “BCS”), held on June 16,
2022 (the “Board”), it was agreed, among other things, to split the BCS (the “Division”), maintaining
this as a continuation and constituting from it a new public limited company, no
special, called Sociedad de Infraestructuras de Mercado S.A.” (the SIM). The Division and
amendments to the BCS statutes agreed at the Meeting were subject to certain
suspensive and copulative conditions, which, once fulfilled, will allow the Division
is materialized and begins to take effect;
That, on March 1, 2023, the BCS granted the public deed of materialization
of the Division. Said public deed provided for in the Meeting, reported compliance with
the aforementioned suspensive and copulative conditions, with which the Division, the constitution to
from it of the SIM and the other reforms of the statutes of the BCS approved at the Meeting
Did they have full legal effect from day 1? March 2023;
On March 2, 2023, SIM signed a contract with Bermil SpA and 7A S.A.
purchase and sale of shares of the company Fintree Servicios y Asesorías Financieros SpA, Rol
Unico Tributario N* 76.392.452-1 (“Fintree”) under which it acquired: (a) 21 shares of
Fintree, owned by Bermil SpA, representing 21% of all shares
issued by Fintree; and (ii) 30 shares of Fintree, owned by 7A S.A., representative
30% of all shares issued by Fintree; for a total value of 60,945 UF,
equivalent to $2,165,369,756 pesos. This means that Fintree Services and Advice
Financieras SpA becomes a subsidiary of Sociedad de Infraestructuras de Mercado S.A.;
Fintree develops the business of providing financial services to family office, multi family
Office and banks. Fintree owns 100% of the share capital of Asesorías Financieros BSF
SpA, Rol Unico Tributario N*76.398.866-K (“BSF” and, together with Fintree, the
“Companies”), a corporation by shares, formed and existing in accordance with the
laws of the Republic of Chile, which develops the business of providing support services
and software maintenance;
(e) In addition, on March 2, 2023, SIM entered into a shareholders’ agreement with Bermil
SpA, which sets out political rights and restrictions on the disposition of Fintree shares,
in addition to other matters usual in that type of contract; and
(f) The acquisition of Fintree is part of the strategy and turn of Sociedad de Infraestructuras
of Mercado S.A. and we estimate that the operation will have positive effects on the results of
SIM, notwithstanding that to date it is not possible to quantify the effects of this investment.
