From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 9 of the
Article 10 of Law 18,045 on the Securities Market, and the provisions of the Rules
General Nos. 30 and N*364 of this Commission, hereby and in
representation of Sociedad Concesionaria Vespucio Norte Express S.A. (the “Company”),
I communicate to you as an essential fact, the following:
On December 13, 2022, the Extraordinary Session of
Board of Directors N*%284 of the Company, in which the unanimity of its members approved the
Distribution of two provisional dividends, detailed below, by the
Total amount of $21,433,111,482, to be paid in one or more installments
As determined by the Administration, in accordance with the provisions of paragraphs 32
and 4? Article 81 of the Law on Corporations and Article 137 of the Regulations:
a) Dividend N*i-2022, for a total of Ch$18,453,178,637.- equivalent to
$429.14368924186 per share, on a provisional basis, charged to earnings from
Exercise in progress. This dividend will be paid as of December 15, 2022, at
those who are registered in the Register of Shareholders of the Company on the fifth business day
prior to that date; and
b) Dividend N*2-2022, for a total of Ch$2,979,932,845.- equivalent to
$69.3007638372093 per share, on a provisional basis, charged to earnings
of the current financial year. This dividend will be paid as of January 15, 2023, at
those who are registered in the Register of Shareholders of the Company on the fifth business day
prior to that date.
