Present
Ref.: Informs of the holding of the Ordinary Shareholders’ Meeting.
From our consideration:
Pursuant to and pursuant to Articles 9 and
10 second paragraph of Law N* 18.045, and Section Il of the General Norm N?
30 of the Commission for the Financial Market, in my capacity as President of the Company
Concesionaria Teleférico Bicentenario S.A., hereinafter and indistinctly, the
“Company”, I communicate to you as an essential fact the following:
On April 29, 2022, at 08:00 hours, the Ordinary Meeting of
Shareholders of the Company, in which the following resolutions were adopted, among others:
1. It was unanimously agreed to approve the Annual Report, the Balance Sheet and the Financial Statements
audits of the Company, corresponding to the year ended 31
December 2021.
2. It was agreed not to distribute dividends.
3. The new members and alternates of the Board of Directors of the
Company, appointing the following persons:
Mr. Sergio Icaza Pérez as holder, and Mr. Ignacio Falcone Benavente as
understudy;
Don Pelayo Santa María Muxica as holder, and Don Gonzalo Falcone
Benavente as an alternate;
Don Clemente Pérez Errázuriz as holder, and Don Martín Santa María Oyanedel
as an alternate;
Mr. Jorge Labra Benítez as holder, and Mr. Gianfranco Nardiello Cartasegna
as an alternate;
Don Benjamín Labra Zelaya as holder, and Don Nicolás Knockaert Lizana as
understudy;
Don Julio Letelier Guzmán as holder, and Don Albert Barr Hasard as
understudy; and
Mr. Peter Studer as a starter, and Mr. Torsten Báuerlen as an alternate.
It was unanimously agreed to appoint PwC as an external audit firm for
the Company for the financial year 2022.
That the publications of the notices of summons to Shareholders’ Meetings are made
in the “El Líbero”.
