Ref.: Summons to the Ordinary General Shareholders’ Meeting.
Dear Sir or Madam:
In accordance with the provisions of Article 63 of Law No. 18,046 and the Character Norm
General N? 364 dated May 05, 2014 of the Commission for the Financial Market, being
duly authorized by the Board of Directors, I hereby communicate to you what
following as an essential fact for Sociedad Concesionaria Región Sur S.A. (the “Company”):
1. On March 20, 2023, the Board of Directors of the Company has called a General Meeting
Ordinary Shareholders of Sociedad Concesionaria Región Sur S.A. for April 28
of 2022, at 08:30 hours in Cerro El Plomo N? 5420, office 1403, commune of Las Condes,
Metropolitan Region, in order for shareholders to be informed and pronounce on
the following subjects:
One.- Approval of the Report, Balance Sheets and Statements of Profit and Loss and Report of the
External Auditors for the year ended December 31, 2022.
Two.- Distribution of profits and distribution of dividends, if any.
Three.- Ratification of the members of the Board of Directors, elected by Extraordinary Shareholders’ Meeting
dated May 26, 2022.
Four.- Appointment of external auditors for the year corresponding to the year 2023.
Five.- Determination of the newspaper in which the publications of the Society must be made
during the year 2023.
Six.- Take cognizance of the operations with related parties referred to in article 44
of the Law of Corporations.
2. It is also noted that the annual report and the annual financial statements
audited with their explanatory notes and the corresponding report of the Audit Company
External have been made available to shareholders as established by the regulations
of the Commission for the Financial Market, and shall be forwarded to the aforementioned Commission
through the SEIL system.
