In accordance with the provisions of articles 9 and second paragraph of article 10 of Law N2 18,045
and in the General Standard N? 30 dated 10 November 1989
Financial Market, being duly empowered by the Board of Directors, and being within the deadline
To this end, I hereby comply with communicating to you, as an essential fact of
Sociedad Concesionaria Red Maule S.A. (hereinafter, the “Company”), which on April 25,
2022, at 09:00 hours, the Ordinary Shareholders’ Meeting of the Company was held with the assistance
of all the shareholders of the same, adopting unanimously the following resolutions:
One.- Approval of the reasoned report of the situation of the Company, together with the statements
financial as of December 31, 2021, the balance sheet, profit and loss statement and the
Report of the External Auditors for the year ended 31 December
2021.
Two.- No distribution of any dividend, making use of the faculty expressly contained in
Article 79 of the Law on Corporations.
Three.- Ratification of the members of the Board of Directors appointed at the Extraordinary Shareholders’ Meeting
dated November 17, 2021, remaining, therefore, the Board of Directors composed of the following
people: Xiaojun Peng, Purificación Torreblanca García, Lei Liu, Xin Zhang and Marcos Arroyo Borbujo.
Four.- Designation of the company EY Audit SpA as an external audit firm of the Company
for the financial year 2022.
Five.- Determination of the newspaper La Nación as a newspaper for social publications.
Six.- The shareholders became aware of the operations with parties related to the
Company, referred to in Article 44 of the Law on Corporations, approving them in all
its terms.
