MAT: Informs, as an Essential Fact, celebration
of Extraordinary Meeting of
Shareholders/Approves to enter into a Contract of
Credit.

On behalf of the Concessionaire Company CHEC Embalse Las Palmas
S.A., Rol Único Tributario N* 76.882.491-6, hereinafter also as the
“Society”, and being duly empowered, I come to inform,
In accordance with the provisions of article 9″ and second paragraph of article 10* of the
Law N*18.045 in relation to Section II, numeral 2.2 of the Character Norm
General No 30 of the Commission for the Financial Market, which:
– On February 15, an Extraordinary Meeting of Shareholders of
the Company in which the conclusion of a Credit Agreement was approved and agreed
with China Harbour Engineering Company Ltd., shareholder
majority of the Company.
– The credit agreement consists of a Revolving Credit Line up to
amount of USD 6,000,000.- under the conditions and for the term agreed in the
referred Board.
