1. The Company’s Balance Sheet and the Board of Directors’ Report for the year were approved
closed as of December 31, 2021;
2. It was agreed to appoint KMPG Auditores Consultores SpA as external auditors of the
Company for the financial year 2022;
3. It was agreed not to distribute dividends;
4. It was agreed to completely renew the Board of Directors, being composed of the following
people:

. Rodrigo Olave López;
. María Pía Tejos Román;
. Carlos Pitarque Durán; and
. Maria Virginia Grau Rossel.
5. The operations mentioned in Article 44 of Law No. 18.046 were reported and approved.
