In compliance with the provisions of article 9 and the second paragraph of article 10 of the Law
18.045 of the Securities Market, and the provisions of General Standards N*30 and N*364
of this Commission, hereby and on behalf of Sociedad Concesionaria
Aeropuerto Araucanía S.A. (the “Company”), I inform you as an essential fact that
next:
On January 25, 2023, the Company has been informed that Inversiones Aeroportuarias
Araucanía S.A. (“IAA”) sold to (i) Empresa Constructora Belfi S.A. 4,899 shares issued by
the Concessionaire owned by IAA, which represent approximately 48.98% of the
shares in which the share capital of the Concessionaire is divided; and (ii) to Inversiones y Construcciones
Belfi S.A. 1 share issued by the Concessionaire owned by IAA, which represents
approximately 0.02% of the shares in which the share capital of the Concessionaire is divided.
The foregoing does not imply a change of control of the Company.
Additionally, at the Company’s Board of Directors meeting held today, the
resignation of the directors Ricardo Bachelet Artigues, Miguel Ignacio Guerrero Gutiérrez
and Felipe Ovalle Pacheco. In their place, they were appointed as new directors of the
Society of Fernando Elgueta Larraín, Alejandro Cristi Elgueta and Sebastián Elgueta
Marinovic, respectively, who will serve in that position until the celebration of the
Next Ordinary Shareholders’ Meeting.
Likewise, in the aforementioned session, Mr. Enrique remained as president of the Society
Elgueta Galmez.
