From our consideration:
In accordance with the provisions of article 9 “and the second paragraph of article 10* of the Law
N*18.045 on the Securities Market and in the Commission’s General Standard N*30 for
the Financial Market, duly authorized and on behalf of Sociedad Austral de
Electricidad S.A. (the “Company”), I have come to inform you that the Ordinary Shareholders’ Meeting
of the Company held on this date agreed, among other matters, the following:
a) Not to distribute dividends, given that the Company presented losses during the year
2022; and
b) Renew the Board of Directors of the Society, which became composed of Messrs. Jorge
Lesser García – Huidobro, Juan Ignacio Parot Becker, Iván Díaz – Molina, Luz Granier Bulnes,
Ashley Munroe, Shama Nagushbandi, Stephen Best and Jonathan Reay.
