From our consideration,
In accordance with the provisions of Article 9 and the second paragraph of Article
10 of Law 18,045 on the Securities Market, as well as the provisions of the
General Character N930 of the Commission for the Financial Market, duly
empowered and on behalf of Sociedad Austral de Electricidad S.A. (the “Company”),
I come to communicate to you, as an essential fact, the following:
That the Company is evaluating an operation consisting of the purchase,
by the Company, of certain assets of generation of medium systems and of
isolated systems owned by the related company SAGESA S.A. (the “Operation”).
The Transaction qualifies as a related party transaction and, of
