In compliance with the provisions of articles 9? and 10? of Law No. 18.045 on the Securities Market,
I inform you, as an Essential Fact, that on April 26, 2023, the Meeting was held.
Ordinary Shareholders of the Company, agreeing the following matters:
1) It was agreed to approve the Annual Report, Financial Statements, Balance Sheet and Auditors’ Report
External, corresponding to the period ended December 31, 2022.
ii) It was agreed to distribute a minimum definitive dividend charged to the profits of the year 2022.
mandatory N%76 of $16.33313 per share, which would be paid as of May 26, 2023.
Those shareholders who appear as such in the Register of
Shareholders of the Company five working days in advance of the date indicated for their
payment, that is, on May 19, 2023. We attach Form N*1 corresponding with the
Details of this dividend.
1i1) The remuneration of the Board of Directors was fixed for the year 2023.
1v) Transactions with related parties were approved in accordance with Article 147 of the Law
N*18,046;
v) The company RSM Chile SPA was appointed as External Auditors for the year 2023.
(vi) Finally, the Board agreed that the publication of notices convening Meetings of
Shareholders for the next year are made in the digital newspaper El Libero.
