Dear Sirs,
The Board of Directors of the Company, at its meeting on March 28, 2023, agreed to summon the Board of Directors
Ordinary Shareholders to be held on April 26, 2023, at 11:30 a.m., on Coyancura Street
N2 2283, office 602, commune of Providencia, in order to submit for consideration and approval of the
Shareholders the following matters:
1. Examination of the situation of the Company and approval of the Balance Sheet, Annual Report, Statements and
Financial demonstrations for the year ended 31 December 2022
and the respective Report of the External Auditors;
2. Distribution of profits for the year ended December 31, 2022 and information
on the dividend policy for the financial year 2023;
3. Fixing the remuneration of the Board of Directors;
4. Information on Board Resolutions in Respect of Operations Governed by Article N*147
Law 18,046;
5. Appointment of External Auditors for the financial year 2023;
6. Determine the journal for the publication of notices of convocation to Shareholders’ Meetings and
other publications of the Society; and
7. Any other matter of social interest that is within the competence of the Ordinary Meeting.
MANDATORY FINAL DIVIDEND
In relation to point 2 above, the Board of Directors agreed to propose to the Ordinary Shareholders’ Meeting
Cited for April 26, 2023, distribute, charged to the profits of the year 2022, a
Mandatory Final Dividend N”76 of $16.33313 per share, to be paid as of 26
May 2023.

They will be entitled to the Mandatory Definitive Dividend N*”76 of $16.33313 per share, those
shareholders who are registered as such in the Register of Shareholders of the Company, with five
business days in advance of the date indicated for payment, that is, May 19, 2023.
It is stated from the Minutes of the Board Meeting referred to in the first paragraph of this letter, that the
Board of Directors expressly authorized the General Manager to inform you about the agreements before
Exposed.
