Ref.: Informs essential fact.
From our consideration:
By means of the present, duly authorized for this purpose and by virtue of the provisions of Article 9 and second paragraph of Article 10 of Law No. 18,045, on the Securities Market, and in General Rule No. 30 of the Commission for the Financial Market (hereinafter the “Commission”), I communicate to you as an essential fact with respect to the company SMU S.A. (hereinafter “SMU” or the “Company”) registered under No. 1076 in the Securities Registry kept by your Commission, its businesses and its securities, the following:
1. As reported by essential event dated July 27, 2021, SMU S.A. with Inmobiliaria Santander S.A. (hereinafter, “ISSA”), concluded, on that same date, a binding Framework Agreement for the lease of commercial premises where supermarkets of the Montserrat chain operated (hereinafter the “Agreement”).
2. In the aforementioned essential event, it was reported that the Transaction was subject to a series of conditions for its closing, including, among others, the approval of the Transaction by the competition authorities and the performance by SMU of a due diligence with respect to ISSA’s business premises.
3. Having approved the Transaction by the competition authorities and after having concluded the due diligence process, we inform you that SMU and ISSA have entered into lease agreements corresponding to 21 commercial premises, in which supermarkets of the Montserrat chain operated (hereinafter the “Lease Agreements”).
4. If the terms and conditions established in the Lease Agreements are met, ISSA will deliver the commercial premises to SMU, so that the authorization works and others that correspond can begin in order to start operating the respective supermarkets. Likewise, on the same date on which the delivery of each commercial premises is made, SMU or a subsidiary company will sign a contract of sale of the movable property located inside each commercial premises.
5. Finally, we inform you that at this date it is not possible to determine precisely the impact that the facts reported through this communication could have on the financial statements of the Company.
