Dear Sir or Madam:
In my capacity as General Manager of Sigdo Koppers S.A., an open corporation, registered in the Securities Registry under No. 915, duly authorized to do so, in accordance with the provisions of art. 9 and in the second paragraph of art. 10 of the Securities Market Law, as well as in General Rule No. 30 of the Commission for the Financial Market and its amendments, I inform you of the following Essential Fact regarding SK’s business:
On June 18, 2019, our subsidiary Ingeniería y Construcción Sigdo Koppers S.A. (“SKIC”) entered into a contract with Celulosa Arauco y Constitución S.A., for the modernization and increase of production capacity of the Arauco Plant owned by the latter.
As a result of disputes that could not be resolved directly by the parties, SKIC activated the dispute resolution mechanism provided for in the contract, consisting of arbitration governed by the rules of the Arbitration and Mediation Center of the Santiago Chamber of Commerce. Having constituted the respective arbitral tribunal, in accordance with the procedure established for this dispute, SKIC has filed its claim yesterday. In it, it has claimed compensation for a value of CLP 246,650,876,566, contract basis, which as of March 31 of this year was equivalent to CLP 310,043,107,311 pesos, plus adjustments, interest and costs, a claim that is solidly founded and supported. However, as in any trial, it is not possible to anticipate its outcome, so we cannot estimate the financial effects that this process may have on SKIC’s results and, therefore, on those of its parent company Sigdo Koppers S.A.
