By means of the present, and in accordance with the provisions of art. 9° and in the second paragraph of art.
10° of Law No. 18.045 on the Securities Market, as well as General Rule No. 30 of the
Commission for the Financial Market, we inform you of the following Essential Fact regarding your
business:
Today, Enaex S.A., a subsidiary of Sigdo Koppers S.A., closed a contract for the sale of
shares for 100% of the shares of MTi HoldCo Pty Ltd (MTi Group), with the investment fund and
majority shareholder Viburnum and company executives, who are the sellers. The value of
The transaction was A$125 million.
MTI Group is an Australian company with more than 25 years of experience in the design, development,
manufacture and distribution of consumable products, which optimize drilling processes and
Blasting in mining. Currently, it has a commercial presence in Australia, South Africa, the United States
and Latin America, maintaining an important portfolio of clients among which are: BHP, Anglo
American, Newmont, Glencore, Rio Tinto, Barrick and Vale, among others.
The company has about 100 employees and has four production centers in Australia, China,
United States and South Africa. The quality of its products and its capacity for innovation are the attributes
most important of the company towards its customers.
The operation that we report is part of the strategic plan of Sigdo Koppers S.A., to continue
enhancing its international presence in the most relevant mining regions of the world. Estimate
that the transaction that has been closed will have positive effects on the results of Sigdo Koppers S.A.,
which cannot be quantified at this point.
