SEMBRADOR IV INVESTMENT FUND

Pursuant to the provisions of Articles 9* and 10, second paragraph, of the
Securities Market Law, in connection with Article 18″ of Law No. 20,712,
duly empowered and on behalf of Larraín Vial Activos S.A. Administradora
General de Fondos (the “Administrator”), the management company of the Fondo de Fondos de
Inversión Sembrador IV (the “Fund”), I come to communicate to you as an essential fact
that in the Ordinary and Extraordinary Assemblies of Fund Contributors held on the day
On April 28, 2023, the following was agreed:
A) Ordinary Assembly of Contributors:
1. The annual account of the Fund presented by the Administrator was approved, relating to the
management and administration of the Fund and related financial statements;
2. It was agreed to elect Mr. María Soledad as members of the Supervisory Committee.
Larraín Mujica, Ricardo Ortúzar Cruz, Carlos Sepúlveda Inzunza, Juan Manuel Galmez
and Pedro Bassi Fontecilla and it was fixed agreed that they do not receive remuneration;
3. The expenditure budget for the Supervisory Committee of $15,000,000 was approved; and
4. It was agreed to appoint HLB Surlatina as the Fund’s external audit firm.
B) Extraordinary Assembly of Contributors:
1. Noted the proposed amendments to the rules of procedure of the
Sembrador IV Private Investment Fund;
2. It was agreed to modify Article 22″ “Assembly of Contributors” of Title VIII
“Corporate Governance Rules” of the Fund’s internal regulations; and
3. Other agreements necessary to implement the
Decisions of the Assembly.
