Ref.: Shipping Essential Fact Sembrador Capital de Riesgo S.A.
For our consideration: In accordance with the provisions of articles 9 and 10 of Law N*
18.045 of the Securities Market and the provisions of General Standard N? 30 of the
Commission for the Financial Market, we come to communicate to you, as a Fact
Essential, that at the Extraordinary Meeting of Shareholders of the Company, held on 26
of August 2020, it was agreed, among other matters, to modify the Fourth Article of the
Bylaws of the Company where it is agreed that the Company will be governed exclusively by
the laws and regulations applicable to public limited liability companies
Closed. The consequence of the foregoing is that Sembrador Capital de Riesgo S.A will continue
complying only with the obligations that correspond to being a Reporting Entity, according to
Law 20.382.
