Ref.: Informs Essential Fact –
Investment Deficit, Equity and Debt Ratios.
From our consideration:
By means of the present, and in accordance with the provisions of article 65 of D.F.L. 251, as well as
as indicated in N* 1.1.9 of Circular N* 991, articles 9 and 10 paragraph 2 of Law 18.045 and others
Relevant rules, is that by this act and fully empowered, I come to inform the following:
That at the end of September 2022 the Company presented an Investment Deficit
representing technical reserves and risk equity in the amount of MM5$2,494; deficit of
Net worth over risk equity, registering a value of 0.5; a debt ratio
total of 5.6; and a financial debt ratio of 1.5.
In accordance with the provisions of Title IV of Decree with Force of Law N*251, we can
Report that the reasons that generated the deficit and ratios indicated above correspond mainly
to the high accident rate registered by the policies issued by the Company.
According to what was reported by essential fact dated October 6, 2022, we estimate
that these deficits and ratios could be corrected between the months of November and December 2022
by alienation of real estate received in payment, with payment by the shareholders of the
Remaining shares charged to the capital increase approved on March 26, 2020. The above
is complemented by the approval of the reform of statutes agreed at the Extraordinary Meeting of
Shareholders on September 26, 2022 in which it was approved to increase the share capital through the
issue of 1,000,000,000 payment shares, ordinary, nominative, same series and without par value,
representative of the amount of MMS$5,000.
