In accordance with the instructions given by your Commission for the Financial Market, contained
in circulars N* 662 and 1737, and in accordance with the provisions of article nine and first paragraphs
and second of the tenth article of Law N*18,045, and being duly empowered by the Board of Directors.
of Seguros de Vida Suramericana S.A. to do so, I come to inform, as an essential fact,
That at the Board meeting held on March 28, 2023, it was agreed to convene
Extraordinary Shareholders’ Meeting (the “Meeting”) for April 27, 2023, at 10:30 a.m.,
in the offices of the Company located at Avenida Providencia N* 1760, Piso 4″, in the commune of
Providencia, Santiago.
The purpose of the Board is to discuss and pronounce on the following matters:
1. Increase the number of directors that make up the company’s board of directors, from 7 to 8
members, amending to this effect Article Tenth of Title Three of the statutes of the
Company, together with adjusting the bylaws to the resolutions adopted by the General Meeting in this regard;
2. If the aforementioned amendment of the statutes is approved, elect the 8 members of the
directory that will become operational once it has been authorized by the Commission for the Market
Financial and given compliance with the legal formalities for its entry into force, which
it must be reflected in a transitory article to be incorporated into the statutes; and
3. To submit to the consideration of the shareholders the remunerations fixed to Messrs.
Directors at the last ordinary shareholders’ meeting, held on March 22 of the year
2023, to modify it in the manner determined by the Board.
