Ref: Reports essential fact – Ordinary Meeting Agreements.
From our consideration:
In accordance with the instructions issued by the Commission for the Financial Market, contained in the
circulars N* 662 and N* 1737, and in accordance with the provisions of article nine and first paragraphs and
second of the tenth article of Law N*18.045, and being duly authorized to do so, I come in
to report, as an essential fact, that at the Ordinary Shareholders’ Meeting of LIFE INSURANCE
SURAMERICANA S.A., held on March 22, 2023, was unanimously agreed by the
shareholders present, corresponding to 100% of the issued shares, the following:
i) Approve the general balance sheet of the company as of December 31, 2022, the statements
and the report of the external auditors, Messrs. EY, as well as approving the
Annual Report corresponding to the year ended December 31, 2022;
ii) Approve, with respect to the destinations of profits, not to distribute said profits and
keep them as reserves for future distributions, or to capitalize them
by distributing shares released from payment.
(iii)
(iv) To approve the remuneration of Messrs. Directors of the year 2022 and set the
corresponding to the year 2023;
v) Appoint as directors of the Company the following persons:

– – Angel Cabrera Venegas
– – Roberto Ferraro
– – Juana Francisca Llano Cadavid
– – Juan Fernando Uribe Navarro
– – John Jairo Uribe Velasquez
– Victoria Vasquez Garcia
vi) Appoint as external auditors for the year 2023 Messrs.
