Dear Sir or Madam:
In accordance with Article 9? and 10″ of Law N* 18.045, to the provisions of
the DFL N? 251 and NCG N” 30, we hereby communicate to you in
of Essential Fact, which on March 20, 2023 at 11:00 a.m., was held on
Ordinary Shareholders’ Meeting of the Company, which was attended by one hundred percent of the
subscribed and paid shares of the company.
The Ordinary Shareholders’ Meeting agreed as follows:

The Annual Report, the Balance Sheet and the States were unanimously approved.
Financial and report of the External Auditors for the year
Ended December 31, 2022.
It was unanimously approved to distribute 100% of the net profits obtained
during the year ended December 31, 2022, which will be paid on December 23, 2022
March 2023.
The company’s External Auditor was unanimously approved for the year
2023.
It was unanimously approved as Risk Rating Companies for the
2023 financial year to ICR Clasificadora de Riesgo Ltda. and Feller – Rate Classifier
Risk Ltda.
It was unanimously approved that for the year 2023, the directors receive
remuneration.
Information was provided on Board of Directors’ resolutions related to acts or contracts to which
refers to Title XVI of the Law on Corporations N* 18.046.
The newspaper “El Líbero” was designated as a newspaper to carry out the publications
Social.
The powers were granted and the necessary powers delegated for the
Materialization of the agreements.
