SECURITY OAKTREE OPPORTUNITIES – DEBT II MUTUAL FUND
Re: NOTICE OF THE NOTICE OF THE ORDINARY MEETING OF THE SECURITY OAKTREE OPPORTUNITIES INVESTMENT FUND – DEBT II
From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, in connection with General Rule No. 30, issued by the Financial Market Commission, being duly authorized, I hereby inform you as an essential fact of FONDO DE INVERSION SECURITY OAKTREE OPPORTUNITIES – DEBT II (the “Fund”), that the Board of Directors of Administradora General de Fondos Security S. A. (the “Administrator”) agreed to call an Ordinary Meeting of Contributors, to be held on May 23, 2023, at 10:00 a.m. on the first call and at 10:00 a.m. on the second call and at 10:00 a.m. on the second call of the second call of the second paragraph of Article 10 of Article 10 of the Securities Market Law.A. (the “Administrator”) agreed to call an Ordinary Assembly of Contributors, to be held on May 23, 2023, at 10:00 a.m. on first summons, and at 10:15 a.m. on second summons, at Avenida Apoquindo 3150, 7th floor, commune of Las Condes, Santiago, in order to decide on the following matters:
To approve the annual account of the Fund to be submitted by the Administrator regarding the management and administration of the Fund and to approve the corresponding Financial Statements;
2. To elect the members of the Supervisory Committee and fix their remuneration;
3. Approve the budget for the expenses of the Oversight Committee;
4. Appoint the External Audit Firm of the Fund, from among those registered in the Register kept for this purpose by the Financial Market Commission;
5. To decide on the appointment of independent appraisers or valuers required to appraise the Fund’s investments; and
6. Any matter of common interest of the Contributors that is not proper for an Extraordinary Meeting.
PUBLICATION OF THE FUND’S FINANCIAL STATEMENTS
Se comunica a los señores Aportantes que los Estados Financieros Anuales del Fondo y el informe de su empresa de auditoría externa, fueron publicados en el sitio web de la Administradora www.inversionessecurity.cl, con fecha 20 de marzo de 2023, pudiendo accederse directamente a esa información a través del hipervínculo: https://www.inversionessecurity.cl/sites/inversiones/files/archivos-ffmm-ffii/Estados%20Financieros_FI%200aktree%200pp-Debt%2011_4to%20Trimestre%202022.pdf.
RIGHT TO PARTICIPATE IN THE ASSEMBLY
The Contributors who are registered in the Contributors’ Registry five working days prior to the date of the Meeting shall have the right to participate in the Meeting.
REMOTE PARTICIPATION AND VOTING
In accordance with the provisions of the Financial Market Commission in General Rule No. 435 and Circular 1,141, the Contributors are hereby informed that they may attend and vote at the Meeting by technological means.
The Contributors must inform no later than 4:00 p.m. on May 22, 2023, if they will participate in the meeting by such means, by sending an e-mail to the address [email protected], in which they must inform the name of the contributor or representative that will attend and attach the documents that prove their identity and legal capacity, in accordance with the accreditation process contained in the “Instructions for Remote Participation” that is available on the website%20Participacio%%20Aportantes%.pdf.
The attendance and voting of the Contributors participating in the Meeting by technological means will be carried out through an online video-conference system called “Webex”. Further details on the operation of this system are available on the website referred to in the preceding paragraph.
QUALIFICATION OF POWERS
The qualification of proxies, in the case of contributors or representatives attending the Meeting by technological means, shall be carried out prior to the Meeting, in accordance with the procedures set forth in this notice and the website indicated. In the case of contributors participating in the Meeting in person, if applicable, the qualification of proxies shall be carried out on the same day of the Meeting, at the place where the Meeting is to be held and at the time it is to begin.
