Ref. Informs about ESSENTIAL FACT of Grupo Security S.A.
From our consideration:
By means of this and in accordance with the provisions of article 9 and second paragraph of article 10,
both of Law No. 18.045, Law No. 18.046 on Corporations and the Character Norm
General No. 30 of the Commission for the Financial Market, I come to report on the following fact
essential relating to the Company I represent:
At the Extraordinary Shareholders’ Meeting held today, it was agreed, among other matters, to (1) modify
the Permanent Fifth Article and the Transitory Article of the statutes, in order to account for the decrease
of full right of part of the share capital for having expired the term of 3 years agreed at the Meeting
Extraordinary Shareholders of October 3, 2019 for subscription and payment, and by application of the
indicated in article 26 of the Law of Corporations, leaving the capital in the sum of
$487,697,796,138 divided into 4,042,335,913 registered shares, ordinary, single series and worthless
nominal, all fully subscribed and paid; (ii) modify, update and modernize the bylaws
(including, among other changes, the figure of the vice-president), and approve a consolidated text thereof; and
(iii) empower the Board of Directors to develop compensation plans for employees of Grupo Security and its
subsidiaries that may include the delivery of shares of own issue. In case this is decided by the
Board of Directors, a new Extraordinary Shareholders’ Meeting will then be convened to submit for approval,
either the modification to the share buyback program currently underway or the implementation of one
new.
We would be grateful if the Commission had presented this information and considered the legal requirements and
regulations that oblige Grupo Security S.A. to provide it.
