Ref.: Communicates essential fact.
From our consideration:
In accordance with the provisions of Articles 9 “and 10% of Law No. 18,045 on the Market of
Values and Chapter 18-10 of the Commission’s Updated Compilation of Standards
for the Financial Market (“CMFE”), I inform you, as an essential fact, that at the Meeting
Extraordinary Shareholders’ Meeting of Scotiabank Chile (the “Bank”), held on this same date, subject
the suspensive condition consisting of the approval by the CMF of the respective amendment
of the statutes, it was agreed to reduce the number of members of the Bank’s Board of Directors, from its current
11 principal directors and 2 alternate directors, to 7 principal directors and 1 alternate director, modifying
its Statutes and making adjustments to that reduction, including quorums of
attendance and voting.
Additionally, the aforementioned Meeting, subject to the same condition, elected as titular directors.
of the Bank to the following persons: Salvador Said Somavia, Raquel Costa, Emilio Deik Morrison, Karen
Ergas Segal, Gonzalo Said Handal, Fernanda Vicente Mendoza and Francisco Matte Risopatrón; and as
alternate director to Mrs. Thayde Olarte.
Notwithstanding the foregoing, the current members of the Board of Directors shall remain in their functions,
with quorums in effect, until immediately before the start of the Installation Directory session
of the new conformation, which will occur within 60 days following the issuance of the resolution that
issue the CMF authorizing the modification of statutes indicated.
