Ref: Communicates Essential Fact
From our consideration:
In accordance with the provisions of Articles 9% and 10″ of Law No. 18,045 of
Securities Market and the provisions of Chapter N*18-10 of the Updated Compilation
of Standards of the Commission for the Financial Market (“CMF”), I communicate to you, in
“essential information” means the following:
As reported by essential fact dated November 30, 2021,
Scotiabank Chile, together with the rest of the banks shareholders of the support company
to the bank draft “Operadora de Tarjetas de Crédito Nexus S.A.” (hereinafter, “Nexus”)
reached an agreement with Minsait Payments Systems Chile S.A. (a subsidiary of the company)
Spanish Indra Sistemas S.A.) for the sale of 100% of the shares held in
Nexus, subject to compliance or waiver of various suspensive conditions, among the
which were the authorization of the CMF for the disposal of 100% of the shares
of Nexus and that the transaction be approved by the National Economic Prosecutor’s Office (in
hereinafter, the “Transaction”).
Having fulfilled the conditions for the closing of the Transaction, with this same
date has been closed and, consequently, Minsait Payments Systems
Chile S.A. has acquired 100% of the shares of Nexus. The price of the Transaction was
of $8,900,682,219 pesos, without prejudice to the price adjustments that may proceed with
thereafter, in accordance with the Nexus share purchase agreement.
As a result of the above, Minsait Payments Systems Chile S.A. has taken control
of Nexus and Scotiabank Chile together with the rest of the shareholder banks have left
to be shareholders of Nexus.
I wish to inform you that I subscribe to this letter in my capacity as representative to this
Committee, as agreed at the Regular Meeting of the Board of Directors N*2375, held with
