From our consideration:
In accordance with Articles 9″ and 10? of Law No. 18.045 of
Securities Market and the provisions of Chapter N*18-10 of the Updated Compilation
of Standards of the Commission for the Financial Market (“CMF”), I communicate to you, in
character of essential information, that with this same date the Ordinary Meeting of Shareholders
of Scotiabank Chile (the “Bank”) has adopted, among others, the following agreements:
1. Distribute 40% of the profits obtained during the year 2021, that is, the sum
$169,754,034,795; equivalent to a dividend of $13.86326 per share, and allocate the
Remainder to the Reserve Fund for Undistributed Profits.
2. To elect as directors of the Bank the following persons:
a) Principal Directors: Salvador Said Somavía, Ignacio Deschamps González, Jaime
Said Handal, Manuel José Vial Vial, Gonzalo Said Handal, Ernesto Mario Viola,
Sergio Concha Munilla, Fernanda Vicente Mendoza, Karen Ergas Segal, Emilio Deik
Morrison and Arturo Tagle Quiroz.
b) Alternate Directors: Juan Antonio Guzmán Molinari, as first alternate director
and Guillermo Mackenna Rueda, as second alternate director.
Subsequently, in a board meeting held on the same date, it was appointed
Salvador Said Somavía as Chairman of the Board and Mr. Salvador Said Somavia as Vice Chairman
Mr. Manuel José Vial Vial, who assumed their positions in that same act.
